Terms of Service

This Public Offer Agreement (hereinafter the “Terms of Service” or “Offer”) regulates the relationship between:
(1) Trans Continental Exports Company Limited, a legal entity duly registered and operating under the laws of Country, located at 25/25 South Mall Cork, Ireland, Company number 375384LH (hereinafter referred as the “Contractor”), on the one hand,
and
(2) any person who accepted this Offer (hereinafter referred as the “Customer”), on the other hand, hereinafter together - the “Parties”, and each separately - the “Party”. 
I. GENERAL CONDITIONS AND DEFINITION
Under this Agreement Contractor provides Canada immigration service, depending on the package chosen by the“Customer”. (hereinafter – “Services”).
Contractor has a platform (https://www.workhub.hr – hereinafter “Website”) which provides a possibility for potential users (hereinafter – “Customers”) provides Canada immigration service by filling applications through the instruments of the website mentioned above. 
This Offer is addressed to an unlimited number of persons and is an official public offer of the Contractor, to conclude an Agreement with any Customer on the provision of Services. 
“Acceptance” of this Offer is filling out the online application form for the provision of services on the Contractor’s Website and/or making an advance payment and means full and unconditional acceptance by the Customer of the terms of this Offer and is equivalent to the Customer’s handwritten signature under the Agreement.
Under this Agreement the "Effective Date" of the Parties means the date of conclusion of this Agreement. The date of conclusion of this Agreement is the date of making an advance payment by the Customer in accordance with the terms of this Agreement.
When ordering and paying for the Services of the Contractor, the Customer accepts all the terms of this Agreement. Making the payment is full and sufficient confirmation that the Customer has familiarized himself with the content of this Agreement, accepts it and agrees to all its terms without exception.
By agreeing to the terms of the Agreement, the Customer confirms his legal capacity, including reaching the age of 18, the legal use of a bank payment card, and also realizes the responsibility for the obligations imposed on him as a result of the conclusion of this Agreement.
As required by the following industry: Contractor shall comply with all applicable laws and has the necessary qualifications to provide Services to Customer. 
II. SERVICES PROVIDED 

Under the conditions and in the manner specified in this Agreement, the Contractor will  provide the“Customer” with “Service” , depending on the package chosen by the “Customer”  through the “Web site” or according to the payment invoice  .

Customer is committed to paying the fee for the services provided according to par. V of the Agreement.
For proper, timely, complete, and high-quality provision of services by the Contractor under the Contract, the Customer undertakes to provide the Contractor with originals or copies of all documents required by the Contractor at the time agreed by the Parties. The Contractor shall notify the Customer of the list of necessary documents and information in any convenient way.
The Customer undertakes to strictly follow all instructions of the Contractor regarding the preparation of documents.
The Customer undertakes to bear full responsibility for the relevance and reliability of information and documents provided to the Contractor in accordance with the terms of this Agreement.
III. TERM AND TERMINATION 
The term of this Agreement shall commence on the Effective Date and shall continue in full force and effect as described by this Agreement. 
This Agreement is valid during the entire period of Services provision but in any case, until the Parties fully fulfill their obligations under this Agreement. 
This Agreement may be early terminated only by mutual consent of the Parties. Unilateral termination of the Agreement is not allowed.
IV. EXCLUSIVITY 
For the term of this Agreement Contractor shall have the exclusive right to provide such Services to the Customer within Canada. 
V. FEES AND PAYMENT 
The Contractor's fee for the services under this Agreement is determined by the performer and posted by him on the Website. The amount of the Contractor's fee may depend on the volume of services provided and/or the number of persons for whom the services are provided.
The Contractor's fee is to be paid by the Customer as the follows: 
advance payment is to be paid at the time of Acceptance of the Agreement,  the second part of the amount will be paid the performance of part of the services according to the package or option and according to the ivoice .
Payment under this Agreement is to be made in EURO  through the Contractor's Website  or in another way agreed by the Parties. The Parties may additionally agree on payment in another currency.
If the Customer unilaterally withdraws from the Agreement or from receiving Services before the Contractor completes the provision of services, the advance payment paid by the Customer shall not be returned and shall be credited as compensation for the Contractor's efforts to provide Services. The inability of the Contractor to contact the Customer for more than 3 (three) working days is also considered a withdrawal of the Agreement in the means of this clause.

VI. LATE PAYMENTS 
For any fee payment that is not paid in time, the Customer shall pay a late fee of 1% (one percent) of the amount owed for each day of delay. 
VII. CONFIDENTIALITY 
The term "Confidential Information” shall include any proprietary information, in whatever form, that: 
is provided by the Customer to the Contractor in order to fulfill this Agreement, including personal data; or 
is provided by the Contractor to the Customer and concerns the nature and features of the services provided under this Agreement; information about the service payment system of the Contractor; information about the cost of the Contractor's services; the list, place, and other terms of service provision by the Contractor; information about business processes, work methods of the Contractor; information about the structure of the Contractor's company; signed copies of any contracts with the Contractor or persons related to the Contractor. 
Confidential Information shall not include any information that: 
is already known to the Party at the time of its disclosure; 
is or becomes publicly known through no wrongful act of the Party; 
is communicated to a third party with the express written consent of the Party; or 
is lawfully required to be disclosed, provided that before making such disclosure, the Party shall immediately give the other Party written notice. 
The Parties shall safeguard and keep the Confidential Information and shall not disclose any Confidential Information to any other person or entity. 
The Parties shall not use the Confidential Information for any purpose other than the fulfillment of the terms of the Agreement. 
All such Confidential Information and any copies obtained thereof shall be returned to the Party promptly upon its written request and shall not be retained in any form by a Party. 
If the Customer violates the terms of par. VII "Confidentiality", the Customer undertakes to pay the Contractor a fine in the amount of USD 2000 (two thousand).
VIII. ENTIRE AGREEMENT 
This Agreement contains the entire agreement of the parties regarding the subject matter of this Agreement, and there are no other promises or conditions in any other Agreement, whether oral or written. 
IX. SEVERABILITY 
If any provision of this Agreement shall be held to be valid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. 
If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. 
X. WAIVER OF CONTRACTUAL RIGHTS 
The failure of either Party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that Party's right to subsequently enforce and compel strict compliance with every provision of this Agreement. 
XI. APPLICABLE LAW 
This Agreement shall be governed by the laws of Ireland.
